Board of Directors

Our Board brings together a distinguished group of leaders and professionals with proven expertise and vision, guiding the company towards its strategic objectives.

  • In line with Article (21) of the Articles of Association, the Board is composed of nine members, including the Chairman, elected through cumulative voting.
  • The Board includes two independent experts to ensure objective oversight.
  • The roles of Chairman and Managing Director are separated to reinforce balance and accountability.
  • In compliance with legal requirements, 25% of the Board are female members (Ms. Nevine Ali Sabour and Dr. Gehan Mamdouh M. Saleh).

The Board is entrusted with ensuring the company’s long-term success while protecting shareholder value. Its core duties include:

  • Defining strategic objectives and approving general policies.
  • Monitoring executive management performance and strengthening internal controls.
  • Ensuring compliance with laws, regulations, and internal codes of conduct.
  • Establishing governance mechanisms and professional standards for employees.
  • Approving succession planning for senior management and Board positions.
  • Setting up an early warning system to detect risks or irregularities and ensuring corrective actions.
  • Delegating authority while maintaining clear reporting structures.
  • Safeguarding data accuracy, integrity, and cybersecurity.
  • Overseeing disclosures and ensuring the integrity of financial and accounting reports.
  • Preserving the independence of the internal audit function.
  • Appointing a qualified Board Secretary and establishing a dedicated Secretariat Unit.
